Product Descriptions and Pricing: Vendors must provide accurate descriptions and ensure prices reflect the true cost, including any applicable taxes or fees.

Inventory and Stock Management: Vendors are responsible for updating stock availability and may face penalties for failing to fulfill orders due to inaccurate inventory reporting.


3. Order Processing and Payment Terms

Order Acceptance and Verification: We reserve the right to verify and accept orders at our discretion. In cases of suspected fraud or unauthorized activity, we may cancel orders without prior notice.

Payment Processing: Payment methods, including credit/debit cards, bank transfers, and online payment services, are processed securely through authorized providers.

Currency and Fees: All transactions are in [Sri Lankan Rupees (LKR)], and any additional fees (e.g., shipping, handling) will be disclosed before checkout.

7. Vendor Responsibilities and Obligations

Vendors on our platform are responsible for providing high-quality service and maintaining the standards required to operate successfully. By registering as a vendor, you agree to the following terms:

Product Compliance and Legality: Vendors must ensure that all products listed for sale comply with Sri Lankan laws, industry standards, and relevant safety or regulatory requirements.

Accurate Product Listings: Vendors must provide accurate descriptions, pricing, and stock information, ensuring they reflect the true nature and availability of the product.

Customer Service and Communication: Vendors are required to respond to customer inquiries, complaints, and order issues within a specified timeframe (e.g., 24-48 hours).

Order Fulfillment and Shipping: Vendors must adhere to stated processing times, package items securely, and provide tracking information upon shipping.

Returns, Refunds, and Cancellations: Vendors must clearly outline their return, refund, and cancellation policies, aligning with platform standards.

Quality Control and Product Authenticity: Vendors must ensure that all products meet quality standards and match their descriptions. Poor-quality or counterfeit items are grounds for account review or removal.

Compliance with Platform Policies: Vendors must adhere to all platform policies, including restricted product listings and prohibited conduct.

Data Privacy and Customer Information: Vendors may not collect, store, or share customer data outside the platform without consent and must comply with the platform’s Privacy Policy.

Marketing and Promotional Activities: Vendors must obtain prior approval for promotional activities that affect the platform’s standards, and promotional content must align with platform guidelines.

Platform Fees and Payments: Vendors agree to applicable platform fees, transaction charges, and any adjustments in fee structure, with prompt payment as required.

Prohibited Vendor Conduct: Vendors may not manipulate reviews, engage in fraudulent activities, or list products that violate intellectual property rights or platform standards.

Indemnity and Liability: Vendors agree to indemnify and hold harmless CSP Lanka (Pvt) Ltd, its affiliates, and employees from any claims, damages, losses, or liabilities resulting from their activities on the platform, including product liability or breach of these Terms and Conditions.


8. Platform and Intellectual Property Rights

Platform Ownership: All content, including images, text, software, and features on the platform, is owned or licensed by us. You may not reproduce, distribute, or exploit any content without our prior written consent.

Vendor Content License: Vendors grant us a non-exclusive license to use trademarks, images, and descriptions for the promotion and sale of products on our platform. This license terminates upon the removal of content or account termination.

User-Generated Content: Any feedback, suggestions, or reviews submitted by users become our property, allowing us to use, modify, and display this content for any purpose without compensation.


9. Limitation of Liability

Platform Limitation: CSP Lanka (Pvt) Ltd is not liable for any direct, indirect, incidental, special, or consequential damages resulting from the use or inability to use the platform, even if we have been advised of the possibility of such damages.

Vendor-Specific Limitations: We do not guarantee the accuracy, quality, or legality of vendor-listed products and are not responsible for any claims, damages, or liabilities arising from vendor interactions, product defects, or failure to meet customer expectations.

Disclaimer of Warranties: The platform is provided “as is” and “as available,” without any express or implied warranties, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.


10. Indemnity

User Responsibility: Users agree to indemnify and hold harmless CSP Lanka (Pvt) Ltd, its affiliates, officers, employees, and partners from any claims, damages, liabilities, losses, or expenses, including legal fees, arising from their use of the platform, violation of these Terms, or infringement of any rights of a third party.

Vendor Responsibility: Vendors assume responsibility for indemnifying the platform for any claims, damages, liabilities, or expenses resulting from their listings, product defects, customer complaints, or breaches of applicable laws and regulations.


11. Modification of Terms

Right to Modify: We reserve the right to modify or update these Terms at any time, with changes effective upon posting. Users and vendors are responsible for reviewing the Terms regularly.

Acceptance of Changes: Continued use of the platform following any changes to the Terms constitutes acceptance of the revised Terms. If you do not agree with the modifications, please discontinue use of the platform.


12. Termination and Suspension of Account

User-Initiated Termination: Users or vendors who wish to terminate their account may do so by contacting our support team. All outstanding fees or obligations must be settled before account closure.

Platform-Initiated Termination: We reserve the right to suspend or terminate accounts, restrict access, or remove content at our discretion for any violations of these Terms, suspected fraud, or harm to the platform’s integrity.

Effect of Termination: Upon termination, users and vendors will lose access to their account, and any rights granted under these Terms will immediately cease.


13. Governing Law and Jurisdiction

Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of Sri Lanka, without regard to its conflict of law principles.

Dispute Resolution: Any disputes arising out of or in connection with these Terms shall be resolved through negotiation in good faith. If unresolved, the dispute may be referred to the competent courts of Sri Lanka.

Waiver of Class Actions: Any claims must be brought individually, and users agree to waive any class action claims.
